Terms & Conditions

These terms govern your use of the THULI Ecommerce One Portal — including store creation, subscriptions, payments, storefronts, and related platform services.

Last updated: 28 September 2026

1. Who we are

THULI ("THULI", "we", "us", or "our") provides a multi-tenant ecommerce hosting platform (the "Platform" or "Service") that lets store owners launch branded online stores with templates, storefronts, admin tools, and subscription billing. Contact: thuli.edu@gmail.com, +91 81228 97170, Korattur, Chennai, India.

Our marketing pages may also describe other professional services (for example custom websites, apps, or related work). Those engagements, if any, are separate and may be governed by a written quotation or statement of work. These Terms apply to the Platform unless we agree otherwise in writing.

2. Agreement

By creating an account, signing in (including with Google), starting onboarding, authorizing a Razorpay payment, connecting a Razorpay account for your store, launching or administering a store, placing an order on a store hosted on the Platform, or otherwise using the Service, you agree to these Terms & Conditions and our Privacy Policy. If you do not agree, do not use the Service or complete payment.

If you use the Service on behalf of a business, you represent that you have authority to bind that business, and "you" includes that business.

3. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract under applicable law. You represent that information you provide (name, company, contact details, store slug, domain, and similar) is accurate and kept up to date.

Access to the Platform is provided through authentication we support (currently Google sign-in via our identity provider). You are responsible for activity under your account and for keeping access to your Google account secure. Notify us promptly of suspected unauthorized access.

4. Roles on the Platform

The Platform involves different roles. Understand which applies to you:

  • Store owners / merchant users — subscribe to THULI, create and configure a tenant store, manage catalog, orders, policies, and (where enabled) a connected Razorpay account for online checkout.
  • Shoppers — browse and purchase from a merchant's storefront. The contract of sale for goods or services is between the shopper and the merchant, not between the shopper and THULI.
  • THULI — provides hosting, software, templates, and subscription billing for the Platform. We are not the seller of merchant goods unless we expressly say so in writing for a specific transaction.

5. The Service

Subject to your plan and an active entitled subscription (where required), we provide:

  • Hosted storefront and store admin for your tenant
  • Template selection, CMS, catalog, and store configuration tools
  • Subscription billing and payment authorization via Razorpay for Platform fees
  • Online storefront checkout when you connect your Razorpay account, and cash on delivery where you enable it
  • Related Platform features described on our pricing, portal, and marketing pages

Features, plan limits, and capability flags may differ by plan and may change as we improve the product. We may suspend or limit access for non-payment, abuse, legal risk, or security risk.

6. Subscriptions, billing, and Platform fees

Creating a store and continued public storefront access generally require a valid paid subscription (or other entitlement we grant). Prices are shown in Indian Rupees (or as displayed at checkout) and billed according to the plan you select (commonly monthly; one-time or other intervals may apply if offered). Applicable taxes, if any, will be shown or collected as required.

Platform subscription payments are processed by Razorpay. Razorpay's terms and privacy practices also apply to the payment experience. By authorizing payment you instruct us and Razorpay to charge the agreed amount on the stated schedule until you cancel according to available Platform options or we terminate the subscription under these Terms.

Failed, incomplete, halted, or cancelled payments may delay provisioning, place the subscription in a past-due or inactive state, and may lock public storefront access after any grace period we apply. Store admin access may remain available so you can resolve billing; shoppers may be unable to browse or check out while the store is locked.

Unless we state otherwise in writing for a specific offer, Platform subscriptions do not include a free trial. Fees already charged for a billing period are generally non-refundable, except where mandatory law requires otherwise or we expressly agree in writing. Cancellation typically takes effect at the end of the current paid period when you use the portal's cancel-at-period-end option.

Plan changes may be limited by subscription status. Where an active plan cannot be switched in-product, contact us to discuss options. Renewing after cancellation or expiry may require a new payment authorization.

7. Storefront sales, COD, and merchant payments

When shoppers buy from your store, you are the merchant of record for those sales. You are responsible for product quality, fulfilment, shipping, returns, refunds to shoppers, GST/taxes on those sales, invoices, consumer law compliance, and disputes with your customers.

Online payments use Razorpay. From store admin you may connect your Razorpay account. That connection authorizes THULI's Razorpay application to create and manage payment orders on your account for your store's checkout. You can disconnect in store admin. You may also revoke access in Razorpay; we will stop using the connection when we receive that notice, and online checkout will stop until you connect again. Turning online payments on or off in store admin does not close your Razorpay account.

You must keep a valid Razorpay account, complete Razorpay's onboarding and KYC, and follow Razorpay's merchant terms. Charges to shoppers settle to the Razorpay account you connect, under your agreement with Razorpay. Razorpay fees, settlements, refunds you issue, chargebacks, and payment disputes on store sales are between you, your shoppers, and Razorpay. Cash on delivery, where you enable it, is between you and the shopper; THULI does not guarantee COD collection.

THULI is not a party to the sale of your goods. We do not collect, hold, or settle shopper purchase funds, and we are not your bank or payment aggregator. We are not responsible for Razorpay approval, Razorpay outages, chargebacks, payment failures, or delivery issues on merchant transactions, except to the extent caused by our wilful misconduct or as mandatory law requires.

You are responsible for the GST, shipping, and other checkout settings you configure. Totals we calculate from those settings do not make THULI your tax agent or invoicing authority.

8. Your store, content, and compliance

You are solely responsible for products, pricing, inventory representations, marketing claims, store policies (including shipping and returns text shown to shoppers), customer service, and compliance with applicable law—including consumer protection, advertising, tax, GST, packaging, and restricted-goods rules—for your store and jurisdiction(s).

You must not use the Platform for:

  • Illegal goods or services, fraud, phishing, or money laundering
  • Malware, unauthorized scraping, or attacks on the Platform or other tenants
  • Content that infringes intellectual property, privacy, or publicity rights
  • Counterfeit, unsafe, or regulated products without required licenses
  • Adult sexual content involving minors, or other content prohibited by Indian law

You grant us a worldwide, non-exclusive, royalty-free license to host, cache, display, transmit, and process your store content solely to operate, secure, backup, and improve the Service.

9. Domains, branding, and third-party services

Custom domains, DNS configuration, trademark clearance, and brand assets remain your responsibility. We may help attach domains through our hosting provider, but we do not guarantee third-party DNS, SSL certificate issuance timing, or registrar outcomes.

The Service depends on third parties (including hosting, database/auth, payment, and identity providers). Their outages or policy changes may affect availability. Your use of those providers may be subject to their separate terms.

10. Acceptable use

You agree not to:

  • Probe, overload, disrupt, or reverse engineer the Platform except as allowed by law
  • Circumvent billing, entitlement locks, access controls, or security measures
  • Access another tenant's data or admin without authorization
  • Resell, white-label, or sublicense the Platform itself without our written permission
  • Misrepresent affiliation with THULI or use our marks misleadingly
  • Upload unlawful, harmful, defamatory, or misleading content

11. Intellectual property

The Platform software, templates, THULI branding, documentation, and related materials remain our property or our licensors'. Except for the limited rights needed to use the Service under your subscription, no IP rights are transferred to you.

Your product images, copy, logos, and trademarks remain yours, subject to the license in Section 8. Feedback you send us may be used by us without obligation to you.

12. Confidentiality and data

You must not disclose non-public Platform credentials, webhook secrets, Razorpay connection tokens, or other confidential technical information, or try to extract them from the Service. Handling of personal data is described in our Privacy Policy. Store owners must publish and follow their own privacy and returns practices for shoppers as required by law.

13. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant uninterrupted uptime, error-free operation, specific sales results, or that the Service will meet every commercial goal.

14. Limitation of liability

To the fullest extent permitted by law, THULI and its officers, employees, and agents are not liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages; loss of data, goodwill, or business opportunity; or shopper–merchant disputes, arising from or related to the Service—even if advised of the possibility.

Our aggregate liability for claims relating to the Service in any twelve-month period is limited to the Platform subscription fees you paid us for that period (or, if you are a shopper with no subscription fees paid to us, to INR 1,000). Nothing in these Terms excludes liability that cannot be limited under applicable law (including certain personal injury or fraud claims).

15. Indemnity

You will defend, indemnify, and hold harmless THULI and its personnel from claims, damages, losses, and expenses (including reasonable legal fees) arising out of: (a) your store content, products, or marketing; (b) your shoppers' orders, taxes, refunds, or disputes; (c) your breach of these Terms or law; (d) the Razorpay account you connect, the authorization you grant, and your payment-provider configuration; or (e) unauthorized use of your account.

16. Suspension and termination

You may stop using the Service and cancel according to available portal options. We may suspend or terminate accounts that breach these Terms, fail payment, infringe rights, or pose legal or security risk—with or without prior notice when urgency requires.

After termination or lock, public store access may end. Where tools allow, export data you need before access ends. We may retain records as required for billing, security, and law. We are not obligated to provide indefinite hosting of cancelled stores.

17. Changes

We may update these Terms. Material changes will be reflected on this page with a revised "Last updated" date. Continued use after changes constitutes acceptance of the updated Terms. If you do not agree, stop using the Service and cancel any subscription.

18. Governing law and disputes

These Terms are governed by the laws of India. Subject to mandatory consumer protections that cannot be waived, courts in Chennai, Tamil Nadu shall have exclusive jurisdiction. Before filing a claim, you agree to contact us and attempt good-faith resolution.

19. General

These Terms are the entire agreement between you and THULI regarding the Platform and supersede prior conflicting online terms for the same subject, except separate written contracts for custom services. If a provision is unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization or sale of assets. Nothing here creates a partnership, joint venture, or employment relationship. Notices may be sent to your account email or the contact details you provide.
